Board of Directors Dividend Proposal Resolution

Holtek Semiconductor Inc. today announced the Board of Directors resolution for a dividend proposal of NT$ 3.807 per common share. The NT$ 3.807 dividend will include a cash dividend content of NT$ 3.707 and a stock dividend content of NT$ 0.1 per common share. This dividend proposal requires further approval by the annual shareholders' meeting, which will be held on June 11, 2007.
